Code of Ethics

1. INTRODUCTION

Cloud Storm is a company that operates in the technology segment, aiming at its growth, within ethical principles and the satisfaction of its customers and similar institutions, always seeking to maintain a solid reputation, with awareness of its social and environmental responsibility. Its activities must always be guided by integrity, trust and loyalty, as well as by respect and appreciation of human beings and their privacy, individuality and dignity, without any prejudice or forms of discrimination.

 

2. PURPOSE

This Code of Ethics aims to resolve issues related to: (i) compliance with rules of coexistence in the work environment, without distinction of hierarchy, areas or functions performed; (ii) transparency of operations in general; (iii) the security of the activities of the professionals involved; and (iv) the security and secrecy of information that must be protected by confidentiality.

 

3. SCOPE

The Code of Ethics includes guidelines of conduct based on ethical and moral standards that will serve as a reference for the behavior of all employees, both internal and external, and must be applied to all members of Cloud Storm's staff in the performance of their duties, including service providers, suppliers and business partners linked to the institution.

 

4. DISCLOSURE

This Code of Ethics will be publicly available on the Company's WEBSITE at http://www.carreiramais.com.br/codigo-etica for employees to consult at any time, and it is the responsibility of the Company's Legal Representative to: (i) ensure compliance with this Code of Ethics; (ii) inform new employees about the Code of Ethics, keeping a record of their knowledge and agreement; (iii) promote broad dissemination of the Code and its updates to the Company's staff, customers, service providers and suppliers; (iv) clarify doubts and verify understanding of its content and application.

6. ETHICAL PRINCIPLES

Cloud Storm's managers and employees base their actions on the following principles in their relationships with the various sectors of society, ensuring:

 

6.1. TO CUSTOMERS

 

6.1.1. Professionalism, trust and transparency;

 

6.1.2. The availability of solutions that add value to their customers' businesses, permanently investing in the search for appropriate technologies and in the improvement of business strategies;

 

6.1.3. Appreciation and respect for compliance with agreements and contracts, as well as the rights of its clients;

 

6.1.4. Appreciation of business opportunities and partnerships built with its clients, aiming at results that benefit society; and

 

6.1.5. Identification, proposal and implementation of innovative and integrated solutions that contribute to reinforcing the legitimacy and sustainability of its clients.

 

6.2. TO GOVERNMENT AGENCIES

 

6.2.1. Recognition of the role and support for the actions of regulatory agencies, providing them with pertinent and reliable information in a timely manner;

 

6.3. TO PEOPLE

 

6.3.1. Maintenance of a work environment where relationships are based on professionalism, trust, cooperation, integration, respect for individual differences and politeness;

 

6.3.2. Sharing knowledge and experiences, seeking to improve technical skills, methods and processes, in order to achieve better overall results for the Company;

 

6.3.3. Valuing people, contributing to their personal, technical and professional development;

 

6.3.4. Permanent care for the appropriate and economical use of the Company's material, technical and financial resources;

 

6.3.5. Preservation and respect for the Company's image, assets and interests;

 

6.3.6. Recognition and appreciation of the Company's intellectual capital and encouragement of the emergence of new leaders; and

 

6.3.7. Appreciation and encouragement of individual and collective ethical conduct.

 

6.4. TO SUPPLIERS AND SERVICE OUTSOURCING COMPANIES

 

6.4.1. Legality, impartiality, morality, publicity and efficiency in all acts performed;

 

6.4.2. Maintaining a relationship based on mutual respect, preservation and confidentiality of information relevant to the Company and its customers;

 

6.4.3. Relationship with suppliers and partners who have practices that are in harmony with the ethical standards adopted by Cloud Storm and social morals;

 

6.4.4. Establishing partnerships, as long as the image and interests of the Company are preserved.

6.4.5. Rejection of contractual provisions that violate or minimize the dignity, quality of life and social well-being of outsourced employees.

6.5. TO EMPLOYEE REPRESENTATIONS, ASSOCIATIONS AND INSTITUTIONS

 

6.5.1. Recognizing the legitimacy and maintaining an ongoing dialogue with legally constituted institutions representing workers, maintaining channels of dialogue based on mutual respect, seriousness, responsibility and transparency in relationships;

 

6.5.2. Negotiation as an appropriate instrument to seek integration and convergence; and

 

6.5.3. Compliance with the provisions set forth in the instruments that regulate the Company's relationship with its employees.

 

6.6. TO THE COMMUNITY

 

6.6.1. Establishing fair and balanced relationships with the community through encouragement, promotion, support and participation in social responsibility and citizenship actions;

 

6.6.2. Encouragement, support and participation in government actions aimed at social development and combating poverty; and

 

6.6.3. Encouragement of sociocultural and sports initiatives by its employees.

7. CODE OF CORPORATE CONDUCT

 

Cloud Storm's directors and employees must base their behavior on this Code of Corporate Conduct, as set forth below.

 

7.1. Acceptable conduct for Cloud Storm's directors and employees:

 

7.1.1. Preserve and cultivate the Company's positive image;

 

7.1.2. Sell, on the Company's premises, only products and services that are the property of and of interest to Cloud Storm;

 

7.1.3. Develop conditions that are conducive to establishing a productive and pleasant climate in the work environment;

 

7.1.4. Treat people and their ideas with dignity and respect;

 

7.1.5. Act with loyalty, fairness and openness in work relationships;

 

7.1.6. Preserve the well-being of the community, respecting the personal characteristics, freedom of opinion and privacy of each individual;

 

7.1.7. Act with clarity and loyalty in defending the interests of Cloud Storm;

 

7.1.8. Present oneself in an appropriate manner for the performance of one's duties and activities in the Company;

 

7.1.9. Refrain from using internal or external influences to obtain personal or functional advantages;

 

7.1.10. Refrain from using one's position, position of trust held or status as an employee of Cloud Storm to obtain advantages for oneself or third parties;

 

7.1.11. Use Cloud Storm resources only for purposes in the Company's interest;

 

7.1.12. Contribute to the proper functioning of the entire Company, refraining from acts and attitudes that impede, hinder or disrupt the provision of services;

 

7.1.13. Refuse to accept gifts and/or prizes worth more than R$150.00 (One Hundred and Fifty Reais) from individuals and/or legal entities that have commercial relations with Cloud Storm.

 

7.1.14. Fail to prepare and present information that reflects real economic, financial, operational, logistical and any other positions and results that affect the Company's performance;

 

7.1.15. Prioritize and preserve the interests of Cloud Storm with customers, government agencies, financial institutions, suppliers, entities and other companies with which Cloud Storm has a commercial relationship;

 

7.1.16. Be accompanied by another employee or a manager or a peer when maintaining any relationship with a supplier or partner that results or may result in hiring that meets the interests or needs of Cloud Storm;

7.1.17. Strictly comply with the Company's guidelines and strategic management when assuming a position of trust within the Company; and,

 

7.1.18. Resign from the position of trust for which they have been designated, when there is disagreement with the Company's guidelines and strategic guidance.

 

7.2. Unacceptable conduct for Cloud Storm's directors and employees:

 

7.2.1. Claiming personal benefits or advantages for themselves or third parties, as a result of a commercial or financial relationship entered into on behalf of Cloud Storm with customers, government agencies, financial institutions, suppliers, entities and other companies with which Cloud Storm maintains this relationship;

 

7.2.2. Being complicit or negligent in relation to errors and violations of this Code of Ethics and the legal and regulatory provisions in force;

 

7.2.3. Perform other professional activities during working hours, whether for profit or not, or, regardless of the compatibility of schedules, perform activities that constitute harm or direct or indirect competition with the activities of Cloud Storm;

 

7.2.4. Exercising any type of discrimination against people for reasons of economic, social, political, religious, color, race or sex;

 

7.2.5. Allowing persecution, sympathies, antipathies, whims, passions or personal interests to interfere in their professional relationships.

 

​7.2.6. Deliberately harm the reputation of an employee of the Company or any other professional with whom Cloud Storm maintains a business relationship;

 

7.2.7. Deliberately harm the reputation of customers, government agencies, suppliers, entities and other companies with which Cloud Storm maintains a business relationship;

 

7.2.8. Request, solicit or receive gifts or advantages of any kind for oneself or third parties, beyond the mere insinuation or provocation for the benefit to be given, in exchange for concessions or privileges of any nature with Cloud Storm;

 

7.2.9. Prioritize and preserve personal interests, those of customers, government agencies, financial institutions, suppliers, entities and other companies, to the detriment of the interests of Cloud Storm;

 

7.2.10. Obtain advantages, for oneself or for third parties, resulting from privileged access to Cloud Storm information, even if they do not result in harm to the Company;

 

7.2.11. Use for one's own benefit or pass on to third parties documents, works, methodologies, products, tools, services and information owned by Cloud Storm or its customers and suppliers, except by legal or judicial order;

 

7.2.12. Speak on behalf of the Company, by any means of public disclosure, when not authorized or qualified to do so;

 

7.2.13. Make inappropriate and uneconomical use of the Company's material, technical and financial resources;

 

7.2.14. Prevent or hinder the investigation of irregularities committed in the Company;

 

7.2.15. Alter or distort the content of any document, information or data for which the Company or third parties are responsible;

 

7.2.16. Facilitate actions by third parties that result in loss or damage to the Company;

 

7.2.17. Generate any type of patrimonial confusion between the Company's assets and one's own assets, regardless of whether pecuniary advantages arise from such confusion; and

 

7.2.18. Continue to perform the role of trust for which they have been designated, when there is disagreement with the company's strategic guidelines and orientations.

 

8. COMPLIANCE WITH THE CODE OF ETHICS

In case of doubts about the correct conduct to adopt, the employee must seek help in a sincere and transparent manner.

Any situation that may characterize a conflict of interest or facts that may harm the Company or that contradict the principles of this Code must be immediately and formally communicated to the Company's Legal Representative.

The Company ensures confidentiality in the handling of these matters and the commitment to investigate the reported cases.

 

Situations that may not be explicitly stated here will be treated as an exception and forwarded to the Company's Legal Representative, who will analyze and decide within the principles of this Code.

 

This Code of Ethics reflects the values ​​and culture of Cloud Storm, and its compliance demonstrates the commitment to professionalism and transparency in all our actions at work.

Failure to comply with the Code of Ethics will subject employees to disciplinary action, which may even result in dismissal for cause and legal proceedings.

 

All those who have a direct or indirect relationship with Cloud Storm must be aware of and ensure compliance with this Code, having the same ethical commitments, regardless of the position they hold.


Failure to comply with any of the practices and/or procedures described herein may affect the credibility of Cloud Storm's institutional image before customers, the market, supervisory and regulatory bodies, the government and society in general.

This Code shall come into effect on the date of its publication.
